This is a translation. In case of differences, the Dutch version prevails.

1. Who these terms are for
These general terms apply to all offers, agreements and services of Webseed, Kade 14, 8855 HZ Sexbierum, the Netherlands (KvK 90224280, VAT NL004798408B62, email: Show email address). They apply to businesses (“business customers”) and to consumers, meaning private persons who do not act in the course of a business or profession. Section 9 contains extra rules that only apply to consumers and, where it differs from other sections, takes precedence for consumers. Deviations are only valid when we have confirmed them in writing.
2. Prices and VAT
Our website shows prices excluding 21% VAT by default, for business customers, and including 21% VAT for private customers (use the switch above the prices). Consumers always pay the price including VAT. Business customers are invoiced the price excluding VAT plus VAT, which gives the same total.
3. The website package (€ 242 incl. VAT)
The one-time price of € 242 including VAT (€ 200 excl. VAT) covers a professional website or webshop designed and built for the client’s business, with:
- up to 5 pages, for example Home, Services, About, Contact and one more;
- the client’s logo, colours and photos in a professional Webseed design;
- one language;
- a contact form, map, cookie notice and basic search engine setup;
- texts supplied by the client, or drafted by us from the client’s input;
- 2 rounds of revisions;
- going live within about 2 weeks after we have received all content.
An SSL certificate (free Let’s Encrypt certificate) is included. We work in this order: request, design, build, approval by the client, launch. The client approves the website before launch.
4. Extras at fixed prices
The client can add the following at the start or at any time later. Prices include 21% VAT (excl. VAT in brackets).
- Extra page: € 30.25 (€ 25 excl. VAT)
- Extra language: € 90.75 per language (€ 75 excl. VAT)
- Webshop (WooCommerce, up to 25 products): € 302.50 (€ 250 excl. VAT)
- Booking or appointment system: € 181.50 (€ 150 excl. VAT)
- Extra revision round: € 60.50 (€ 50 excl. VAT)
- Custom feature or integration: on request, we give a quote first
5. Hosting & care
Hosting & care costs € 36.30 per month including VAT (€ 30 excl. VAT), billed yearly in advance: € 435.60 per year including VAT (€ 360 excl. VAT). It includes fast hosting on servers we manage, regular backups, WordPress, theme and plugin updates, security monitoring and protection, and support by contact form, email or phone. We do our best to keep the website online and secure, but we cannot guarantee uninterrupted availability. We announce planned maintenance in advance where possible.
Business customers: the plan starts on the day the website goes live and runs for at least one year. After that it renews automatically for one year at a time. The client can cancel before each new year by email, at least 30 days before the renewal date.
Consumers: see section 9.
When the plan ends, the website is taken offline on the end date.
6. Payment
We invoice the website price when the order is confirmed and the hosting & care plan yearly in advance, starting at the launch date. Extras are invoiced when ordered. Invoices must be paid within 14 days. If an invoice remains unpaid after a reminder, we may suspend our work or the hosting until payment has been received. Statutory collection costs and interest apply to business customers; for consumers the statutory rules on reminders and collection costs apply.
7. What we need from the client
The client provides texts, images, logo and other content in time and in a usable format, and guarantees that it may use this content and that it does not infringe the rights of others or break the law. Delays in delivering content move the delivery time accordingly. The client registers the domain name in its own name, or asks us to do so on its behalf; we connect the domain to the website.
8. Ownership and intellectual property
The client owns its content (texts, images, logo), its domain name and its data. We do not use the client’s content for other purposes. When the client leaves Webseed, we hand over a complete copy of the website (files and database) within 14 days after a request, and help to move the domain.
Webseed keeps the copyright to its own code and design, including the theme and the custom plugins we build. The client receives a permanent, free, non-exclusive right to use them for its own website, including after leaving Webseed. This right is not transferable and does not allow reselling or distributing the code or design as a separate product. Third-party components such as WordPress, plugins and fonts remain subject to their own licences.
9. Consumers
This section only applies to consumers.
9.1 Right of withdrawal. For agreements concluded online or by email you have the right to withdraw within 14 days, without giving a reason. The period starts the day after the agreement is concluded. To withdraw, send us a clear statement by email to Show email address, for example using the model withdrawal form at the end of these terms. We confirm receipt.
9.2 Starting before the 14 days end. Our order confirmation asks you to expressly agree that we start the work before the 14 days have ended. If you give that agreement and then withdraw, you pay us a proportional part of the price for the work we have already done up to the moment you told us you withdraw, calculated on the total price. If you did not expressly ask us to start within the 14 days, you owe us nothing when you withdraw. Under the law, your right of withdrawal also ends when we have fully performed the service, if you expressly agreed to the start and acknowledged this consequence.
9.3 Refund. We refund payments we received from you within 14 days after we received your withdrawal, minus the proportional amount from 9.2.
9.4 Hosting & care for consumers. The first year is fixed. After that, the plan continues for an indefinite period and you can cancel at any time with one month’s notice, by email. If you have prepaid a year, we refund the part of the prepaid amount that relates to the period after the end date.
9.5 Liability. For consumers only the statutory rules on liability apply. The limitation in section 12 does not apply to you.
9.6 Prices. Prices for consumers are always shown and charged including VAT.
9.7 Complaints. Tell us about a complaint as soon as you find a defect, by email. We answer within 14 days. If we cannot solve it together, you can use the European online dispute resolution platform (ec.europa.eu/consumers/odr).
10. Complaints and warranty (business customers)
Business customers must report defects within 14 days after the website goes live. We repair defects in the delivered work free of charge. After that, repairs outside the hosting & care plan are charged at an agreed price.
11. Privacy
We process personal data as described in our Privacy policy. For the personal data on the client’s own website that we host, we act as processor; we sign a data processing agreement on request.
12. Liability (business customers)
Towards business customers, our liability is limited to direct damage and is capped at the total amount (excl. VAT) the client paid us in the 12 months before the event that caused the damage. We are not liable for indirect damage, such as lost profit, lost revenue or lost data beyond what our regular backups allow us to restore, nor for failures of third parties (for example domain registrars, payment providers or internet connections). Nothing in these terms limits liability for intent or gross negligence, or where the law does not allow a limitation.
13. Force majeure
We are not in breach if we cannot meet an obligation because of circumstances beyond our reasonable control, such as a large-scale internet or power outage, an attack on our infrastructure despite reasonable protection, or illness that stops our work.
14. Changes to these terms
We may change these terms. Changes apply to new agreements immediately. For existing hosting & care plans they apply from the next renewal (consumers: from the next period, after we inform you in time; if you do not agree you can cancel as described in 9.4). We inform the client of changes in time before that.
15. Applicable law
Dutch law applies. Disputes with business customers go to the competent court in the Netherlands, in the district where Webseed is established. Consumers keep the right to go to the court that is competent under the law.
